Kola — Customer Terms and Policies
Version: 2026-10-30 Effective Date: October 30, 2026
Important Summary
Kola is a paid, SMS-first accountability service operated by LightState Inc. It is designed to help individual users stay accountable to work on personal projects by sending recurring progress-check messages, recording reported progress, identifying blockers, and supporting recovery actions.
Please read this entire document. The following points are especially important:
- Kola subscriptions automatically renew until cancelled.
- Subscription billing periods and accountability-plan durations are different. Finishing an accountability plan does not automatically cancel your subscription.
- SMS consent is separate from your subscription agreement.
- Replying STOP or another clear SMS opt-out request stops Kola SMS messages but, by itself, does not cancel your paid subscription.
- Replying CANCEL stops Kola SMS messages and also schedules your paid subscription to end at the end of the current paid billing period.
- Replying CANCEL NOW, or clearly asking Kola to cancel your subscription immediately, stops Kola SMS messages and requests immediate subscription cancellation. Any refund is handled under the Refund Policy below.
- During the first 168 hours after your initial paid subscription begins, an eligible immediate cancellation receives a full refund of the eligible amount paid.
- After that initial period, an eligible immediate cancellation receives a prorated refund for unused paid subscription time, calculated using the actual Stripe billing-period timestamps and paid invoice data.
- Kola uses automated systems and artificial intelligence. Routine messages and classifications may not be reviewed by a human before they are sent or applied.
- Kola is not therapy, medical care, legal advice, financial advice, tax advice, employment advice, or another professional advisory service, and it does not guarantee that you will complete your project.
If any part of this summary conflicts with the more detailed provisions below, the more detailed provisions control, subject always to rights that cannot legally be waived.
Part I — Terms of Service
1. Agreement to These Terms
These Customer Terms and Policies (the “Terms”) form an agreement between you and LightState Inc. (“LightState,” “Kola,” “we,” “us,” or “our”) concerning your use of Kola.
By creating an account, purchasing or using a Kola subscription, or otherwise using the Kola service, you agree to these Terms. Where we ask you to provide a separate consent, including consent to receive SMS messages, that consent is separate from your agreement to these Terms.
If you do not agree to these Terms, do not purchase or use Kola.
Nothing in these Terms limits any consumer, privacy, telecommunications, subscription, cancellation, refund, or other right that applicable law does not permit you to waive.
2. Eligibility
You must:
- be at least 18 years old;
- have legal capacity to enter into a binding contract where you live;
- provide accurate account, billing, and contact information;
- use Kola only for lawful purposes; and
- be located in a country or region in which Kola has chosen to make the service available.
Kola is initially intended for individual users in Canada and the United States. Availability may be restricted in particular provinces, territories, states, or other locations for legal, technical, tax, messaging, operational, or other legitimate reasons.
3. What Kola Provides
Kola is an accountability service intended to help you stay engaged with work on a project. Depending on your plan and current product features, Kola may help you:
- define a project result;
- identify a concrete daily commitment;
- receive scheduled accountability check-ins;
- report whether work was completed, partial, missed, blocked, rescheduled, or skipped;
- record accomplishments and blockers;
- identify or confirm a smaller recovery action after missed work;
- pause and resume an accountability plan;
- receive summaries or other service-related messages; and
- communicate with Kola about the project within the supported service scope.
Kola is not a task-list or full project-management platform and is not intended to replace professional services.
4. Applications and Qualification
Kola may require an application before allowing a person to start an accountability plan. We may qualify, waitlist, or decline an applicant based on legitimate considerations such as service fit, service capacity, supported geography, technical requirements, safety considerations, or the applicant’s ability to use the service as intended.
We will not intentionally make eligibility decisions for unlawful discriminatory reasons.
Qualification to use Kola, payment status, SMS consent, and completion of onboarding are separate requirements. Satisfying one requirement does not automatically satisfy another.
5. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials, private links, and devices used to access Kola. You must promptly notify us at info@lightstateinc.com if you believe your account or contact information has been compromised or used without authorization.
You are responsible for information and instructions submitted through your authenticated account or verified communication channels unless applicable law provides otherwise.
6. Subscription Plans and Prices
Kola currently offers the following subscription options:
| Billing Interval | Price | |---|---:| | Monthly | CAD $29.99 | | Every three months | CAD $79.99 | | Annual | CAD $179.00 |
Applicable taxes may be added where required by law. The checkout page controls the price, currency, billing interval, discounts, and taxes applicable to the particular purchase.
We may offer promotions, trials, or different prices in the future. Any material change to the price of an existing recurring subscription will be communicated in advance where required by law and will apply only as permitted by applicable law.
7. When Billing Begins
Your paid subscription begins when you subscribe and Stripe confirms the paid subscription, unless the checkout page expressly states otherwise.
Stripe is our payment processor and is the authoritative source for payment and subscription status. We do not intentionally store complete payment-card numbers in the Kola application.
8. Automatic Renewal
Unless cancelled, your subscription automatically renews for the billing interval you selected, and the applicable subscription fee and taxes will be charged using your payment method on file.
For subscription periods or jurisdictions that require advance renewal notices, we will provide the notices required by applicable law. This may include advance notice for longer renewal periods.
You may cancel as described in the Cancellation Policy below.
9. Subscription Billing Periods Are Different From Accountability Plans
Kola may offer accountability plans of 7, 14, 21, or 28 active accountability days. An accountability plan is a service configuration and is not the same thing as your paid subscription billing period.
Accordingly:
- completing an accountability plan does not automatically cancel your paid subscription;
- pausing, skipping, completing, or exiting an accountability plan does not automatically stop subscription billing;
- your billing period is based on the Stripe subscription schedule rather than the number of accountability days you use; and
- you must separately cancel your subscription if you do not want it to renew.
While your subscription remains active and you meet applicable activation requirements, Kola may allow you to continue using the service or begin another accountability plan, subject to the product features, reasonable usage limits, and availability shown to you.
10. Pauses and Skipped Accountability Days
A PAUSE affects the accountability service, not your paid subscription. Unless we expressly tell you otherwise:
- PAUSE temporarily suspends ordinary accountability check-ins;
- PAUSE does not withdraw SMS consent;
- PAUSE does not cancel or suspend billing;
- paused or skipped accountability days do not automatically extend your Stripe billing period; and
- product rules may limit the number or duration of paused and skipped accountability days before review or another action is required.
11. Failed Payments
If a subscription payment fails, Stripe or Kola may retry the payment, request an updated payment method, restrict service, or cancel the subscription, subject to applicable law and the settings used for your subscription.
You remain responsible for valid amounts properly charged before cancellation, except to the extent a refund, credit, charge reversal, or other adjustment applies.
12. Taxes
Prices may be subject to GST/HST, provincial sales taxes, U.S. state or local taxes, or other transaction taxes where applicable. The tax shown at checkout or on your invoice may depend on your location, tax classification, and information available to us and our payment or tax providers.
You must provide accurate billing-location information. Nothing in these Terms requires you to pay a tax that applicable law does not impose.
Part II — SMS Program Terms
13. SMS Is a Core Kola Service Channel
Kola is designed as an SMS-first accountability service. If you separately consent to SMS, messages may include:
- onboarding and activation messages;
- accountability commitment prompts;
- progress and outcome check-ins;
- commitment clarifications and confirmations;
- recovery questions and suggestions;
- reminders related to your active accountability plan;
- pause, resume, HELP, and other control messages;
- delivery or support messages; and
- weekly, completion, or service summaries.
Message frequency varies depending on your activity and selected accountability schedule. A typical active day may include scheduled accountability check-ins plus replies, clarification, recovery, support, or limited reminder messages.
Message and data rates may apply according to your wireless plan.
Kola does not currently intend to use the accountability SMS program to send advertising, unrelated promotions, or third-party marketing.
14. Separate SMS Consent
Your agreement to these Terms is not by itself consent to receive Kola SMS messages.
Where required, Kola will ask for separate SMS consent through a clear opt-in mechanism. The SMS consent control should not be preselected for you.
SMS consent is not a condition of purchasing a subscription. However, without SMS consent, Kola cannot deliver the SMS accountability messages that make up the core SMS service. If you subscribe without providing SMS consent, you can manage or cancel your subscription under these Terms.
We record information about SMS consent, which may include the phone number, disclosure version, consent action, source, and date and time of consent or withdrawal.
15. STOP and Other SMS Revocation Requests
You may withdraw consent to receive Kola SMS messages at any time by replying STOP or by otherwise clearly communicating that you no longer want Kola SMS messages.
When we receive a valid SMS opt-out request:
- we will stop ordinary Kola SMS messages to that number as soon as practicable;
- we or our messaging provider may send one final opt-out confirmation permitted by applicable law and messaging rules;
- no further ordinary Kola SMS messages will be sent unless you validly opt in again; and
- an SMS-only opt-out does not, by itself, cancel your paid subscription unless your message also clearly requests subscription cancellation or falls within the CANCEL rules below.
Because messaging providers and carriers may process standard stop words automatically, technical suppression may apply broadly to messages sent through the applicable messaging profile.
16. Meaning of CANCEL
If you reply with the standalone command CANCEL, Kola will treat that message as both:
- a withdrawal of consent to receive Kola SMS messages; and
- an instruction to schedule your paid Kola subscription to end at the end of the current paid billing period.
After CANCEL:
- ordinary SMS messages stop immediately or as soon as practicable;
- your subscription remains paid and active through the scheduled end of the current billing period, subject to the product access available without SMS;
- the subscription will not renew after that period unless you later reverse the scheduled cancellation through an available account or billing process; and
- because SMS consent has been withdrawn, the confirmation of your billing cancellation date will ordinarily be provided by email and/or in your account or Stripe billing portal, rather than through additional SMS messages.
Choosing CANCEL at period end does not ordinarily create a voluntary prorated refund because your paid subscription remains in effect through the end of the period. Mandatory refund rights under applicable law still apply.
17. Meaning of CANCEL NOW
If you send CANCEL NOW or otherwise clearly ask Kola to cancel your paid subscription immediately, Kola will treat the request as both:
- an SMS opt-out; and
- a request to cancel your subscription immediately.
We may use reasonable measures to verify that the request comes from the subscription holder before making an irreversible billing change.
Upon an approved immediate cancellation:
- SMS messages stop;
- subscription access ends immediately or as soon as the cancellation is processed;
- Kola calculates any refund under Part III below; and
- billing/refund confirmation will ordinarily be sent by email or displayed through your account or billing interface rather than by continued SMS.
Where an immediate-cancellation interface shows an estimated refund before confirmation, the estimate is subject to final calculation using current Stripe billing data.
18. PAUSE
If you send PAUSE, Kola may temporarily pause ordinary accountability check-ins without withdrawing your SMS consent and without cancelling your subscription.
A pause does not stop subscription billing and does not automatically generate a refund. You may resume through a supported resume command or account process.
19. HELP
If you send HELP, Kola or our messaging provider may send information identifying Kola and providing customer-support or opt-out information.
For support you may also contact info@lightstateinc.com.
20. Re-Opting Into SMS
If you have opted out, you may be required to send a supported opt-in keyword such as START to the same sending number from which you opted out, or complete another valid consent process, before normal SMS service can resume.
Re-opting into SMS does not automatically reverse a scheduled or completed subscription cancellation. Subscription status must be managed separately.
21. Clear Requests Control Over Keywords
Keywords are provided for convenience. If your message uses different wording but clearly communicates that you want SMS messages stopped, Kola will treat it as an SMS opt-out where applicable law requires or where a reasonable interpretation of your message indicates that intent.
Likewise, if you clearly ask us to cancel billing immediately or at the end of the billing period, we will attempt to process the request according to its reasonably understood meaning, subject to verification and applicable law.
Part III — Cancellation and Refund Policy
22. Ways to Manage or Cancel a Subscription
You may manage your subscription through the Kola account interface or the Stripe Customer Portal made available to you. Depending on the available interface, you may be able to:
- cancel immediately;
- cancel at the end of the current billing period;
- update payment information;
- upgrade or downgrade; or
- view billing information.
You may also communicate a clear cancellation request to us at info@lightstateinc.com or, where supported, through the SMS instructions above.
We will not require you to re-consent to SMS in order to cancel your paid subscription.
23. Initial Seven-Day Full-Refund Period
The initial full-refund period lasts 168 hours from the Stripe-confirmed timestamp when your first paid Kola subscription begins.
For this policy, let S be the Stripe-confirmed timestamp when the customer's first-ever paid Kola subscription begins and R the time Kola's server records receipt of an eligible, unambiguous request for immediate cancellation through a supported channel. If S <= R < S + 168 hours, Kola will provide a full refund of the eligible subscription amount paid for that initial purchase, together with applicable refundable taxes. A request received exactly at or after S + 168 hours follows the prorated-refund policy below. Reasonable verification, Stripe processing, or Kola processing delays after receipt do not change R or reduce an otherwise eligible full refund.
The initial seven-day full-refund period is tied to the customer's first-ever paid Kola subscription start. It does not restart for a monthly, quarterly, or annual renewal or if the customer cancels and later purchases another Kola subscription, unless applicable law requires otherwise.
A request to cancel at the end of the billing period is different from an immediate cancellation. If you choose period-end cancellation, your subscription remains in effect through that period and the initial full-refund rule does not automatically apply unless you also timely request immediate cancellation.
24. Immediate Cancellation After the Initial Seven Days
After the initial 168-hour full-refund period, an eligible immediate cancellation receives a prorated refund for unused paid subscription time in the current billing period.
Kola calculates the voluntary unused-time refund using the actual Stripe subscription period and paid invoice data rather than the number of active accountability-plan days.
The general fee-component formula is:
Unused Fraction
= (Billing Period End Timestamp - Effective Cancellation Timestamp)
/ (Billing Period End Timestamp - Billing Period Start Timestamp)
Prorated Fee Refund
= Eligible Net Subscription Fee Actually Paid × Unused Fraction
The result is rounded to the nearest cent using ordinary currency rounding. Applicable refundable taxes are adjusted separately as required.
The calculation may take account of, as applicable:
- the exact cancellation timestamp;
- the actual start and end timestamps of the current billing period;
- discounts or promotional pricing;
- taxes;
- previous refunds;
- credits already provided for the same unused service;
- unpaid or partially paid invoices;
- charge reversals;
- pending invoice adjustments; and
- currency rounding.
The same unused portion will not knowingly be compensated twice. If Stripe creates or applies an invoice credit or customer-balance credit for the same unused service that is being refunded to the original payment method, Kola will reverse, offset, or otherwise reconcile the duplicate value where necessary.
25. Example of Proration
For illustration only, if an eligible monthly fee actually paid is CAD $29.99 and exactly one-half of the paid billing period remains at the effective cancellation timestamp:
CAD $29.99 × 0.5 = CAD $14.995
Using nearest-cent currency rounding, the fee component of the refund would be CAD $15.00, before any applicable tax adjustment or other valid account adjustment.
Actual subscription months have different lengths and Stripe billing periods use timestamps. Therefore, Kola does not calculate a refund merely by counting calendar dates or accountability days.
26. Refund Method and Timing
An approved monetary refund is returned through Stripe to the original payment method where reasonably possible.
A Stripe invoice credit, proration credit, or customer-balance credit is not the same thing as a refund to your payment method. When our policy promises a monetary refund, we intend to initiate an actual refund transaction rather than merely leaving equivalent value as future account credit, unless you expressly agree to another form or applicable law permits another resolution.
After Kola initiates a refund, your bank, card issuer, or payment network may require additional processing time before the refund appears in your account.
Where applicable law imposes a shorter or specific refund deadline, we will follow that requirement.
27. Refund Status and Partial Processing Failures
Subscription cancellation and payment refund are separate technical transactions. It is possible for cancellation to succeed before a refund finishes processing.
If we determine that an approved refund failed or did not complete, we may retry or reconcile the refund. You may contact info@lightstateinc.com if you believe an approved refund has not been received.
28. No Double Recovery
You are not entitled to receive both a full monetary refund and an overlapping credit, chargeback recovery, or other compensation for the same paid service unless applicable law requires otherwise.
If a payment dispute, chargeback, bank reversal, duplicate credit, or similar event overlaps with a refund request, we may reconcile the transactions before determining the remaining amount owed to either party.
29. Mandatory Consumer Rights
The refund and cancellation rules in these Terms are our general policy. If the law applicable to you provides a greater cancellation or refund right, that mandatory right applies.
For example, some jurisdictions impose specific requirements for automatic renewals, longer-term subscriptions, distance contracts, renewal notices, cancellation methods, or prorated refunds. Nothing in these Terms removes those rights.
Part IV — Acceptable Use, AI, and Customer Content
30. Appropriate Use of Kola
You may use Kola for lawful personal accountability and project-progress purposes. You must not use Kola to:
- violate applicable law or another person’s rights;
- threaten, harass, exploit, or abuse another person;
- send malware, malicious code, spam, or deceptive content;
- attempt to gain unauthorized access to systems or accounts;
- impersonate another person or misrepresent authorization;
- use the service to facilitate illegal or dangerous activity; or
- interfere with Kola, our providers, or other users.
31. Information You Should Not Submit
Kola uses free-text fields and SMS. You should not submit information that is unnecessary for accountability coaching, including:
- passwords, authentication codes, API keys, or private credentials;
- payment-card numbers or bank credentials;
- highly confidential employer, customer, or third-party business information;
- another person’s sensitive personal information unless you are authorized and it is necessary;
- detailed medical or mental-health records;
- privileged legal communications;
- government identification numbers; or
- information whose disclosure to Kola would violate a confidentiality obligation.
If you voluntarily include sensitive information in a message, it may be processed as part of providing, securing, supporting, or troubleshooting the service, including by service providers described in the Privacy Policy.
32. Not a Professional or Emergency Service
Kola is an accountability and productivity service. It is not:
- medical or mental-health treatment;
- therapy or crisis counselling;
- legal advice;
- tax or accounting advice;
- financial or investment advice;
- employment or human-resources advice; or
- an emergency-response or continuously monitored service.
Do not use Kola as a substitute for a qualified professional or emergency service. If you believe there is an immediate risk of harm or an emergency, contact the appropriate local emergency service or qualified professional.
33. AI and Automated Processing
Kola may use artificial intelligence and deterministic software rules to interpret and respond to your messages and to operate accountability workflows.
AI may assist with tasks such as:
- interpreting commitments;
- determining whether a commitment appears concrete;
- classifying outcomes;
- extracting blockers or accomplishments;
- suggesting recovery actions;
- drafting messages and summaries; and
- answering limited project-related questions.
Routine AI-assisted actions may be applied automatically and may not receive human review beforehand.
AI and automated systems can make mistakes. They may misunderstand language, context, goals, progress, or intent. You are responsible for reviewing important information and correcting Kola when appropriate.
Human operators may access relevant account, conversation, workflow, consent, billing, and technical information to support the service, review exceptions, correct errors, investigate failures, or comply with legal obligations.
34. No Guarantee of Results
Kola does not guarantee:
- completion of a project;
- improvement in productivity;
- any financial, career, health, educational, or other outcome;
- that every message will arrive at an exact time;
- uninterrupted service;
- perfect AI accuracy;
- that every message will be human-reviewed; or
- that every user request will be suitable for Kola.
Your results depend on many factors outside our control, including your own decisions and actions.
35. Your Content
As between you and LightState, you retain ownership of the original content you submit to Kola to the extent you own that content.
You grant LightState a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, process, analyze, format, display, and otherwise use your content only as reasonably necessary to:
- provide and operate Kola;
- generate requested or expected accountability responses and summaries;
- secure, maintain, and troubleshoot the service;
- provide customer support;
- prevent abuse and enforce these Terms; and
- comply with applicable law.
This licence ends when the content is deleted from active systems, except to the extent retention remains reasonably necessary for backups, legal obligations, dispute handling, security, fraud prevention, or other purposes described in the Privacy Policy.
36. Kola Intellectual Property
LightState and its licensors retain all rights in Kola software, branding, workflows, documentation, service design, and other materials not created by you.
These Terms give you a limited, personal, non-exclusive, non-transferable right to use Kola during an active subscription or other authorized access period. They do not transfer ownership of Kola intellectual property to you.

42. International Processing and Cross-Border Transfers
LightState is based in Canada, but Kola uses service providers and technical infrastructure that may process or store information in Canada, the United States, or other jurisdictions where those providers or their subprocessors operate.
When personal information is processed in another jurisdiction, it may be subject to the laws of that jurisdiction and may be accessible to courts, law-enforcement agencies, national-security authorities, or regulators in accordance with applicable law.
Where required, LightState uses contractual, technical, organizational, or other reasonable measures to protect information transferred to service providers.

If our practices materially change, we will update this Privacy Policy and provide any legally required choices or notices.

We retain personal information only for as long as reasonably necessary for the purposes for which it was collected, including providing Kola, maintaining account and subscription records, honoring consent choices, supporting users, resolving disputes, preventing abuse, maintaining security and audit trails, and meeting legal, tax, accounting, payment, and telecommunications requirements.
Different records may have different retention periods. For example:
- active account and accountability information may be retained while needed to provide the service;
- SMS consent and opt-out records may be retained as necessary to demonstrate and honor messaging choices;
- billing, tax, invoice, refund, and transaction records may be retained for legally required recordkeeping periods;

We may take reasonable steps to verify your identity before fulfilling a privacy request. We may deny, limit, or defer a request where applicable law permits or requires us to do so, and we will provide an explanation where legally required.
Withdrawing SMS consent is handled separately under Part II.
46. Security
We use administrative, technical, and organizational safeguards intended to protect personal information against unauthorized access, loss, misuse, alteration, or disclosure, taking account of the sensitivity of the information and the nature of the service.
No online service, telecommunications network, AI system, storage system, or security measure is completely secure. We therefore cannot guarantee absolute security or that incidents will never occur.
If a privacy or security incident creates notification or reporting obligations under applicable law, we will take the steps required by that law.
47. Cookies and Similar Technologies
Kola may use cookies, tokens, logs, and similar technologies that are reasonably necessary for functions such as:
- language preferences;
- authentication;
- session management;
- security and CSRF protection;
- private or signed links;

Kola is intended for adults age 18 and older. We do not knowingly offer the service to children under 18. If you believe a person under 18 has provided personal information to Kola, contact info@lightstateinc.com.
Part VI — Service Operation, Disclaimers, and Legal Terms
49. Service Availability
We aim to provide reliable service but do not guarantee uninterrupted or error-free operation. Kola may experience delays, outages, carrier filtering, provider failures, maintenance, network issues, AI errors, or other interruptions.
SMS delivery depends on telecommunications providers and mobile carriers outside LightState’s complete control. Messages may be delayed, blocked, duplicated, reordered, or undelivered.
50. Changes to the Service
We may add, remove, modify, suspend, or discontinue features as the product evolves. If a change materially reduces a paid service during a current paid period, we will provide any notice, cancellation right, refund, or other remedy required by applicable law.
Future products such as WhatsApp, native mobile applications, voice, video, fitness, health-related features, or services in additional countries may be governed by additional or updated terms.
51. Suspension and Termination by LightState
We may suspend or terminate access where reasonably necessary because of:
- material violation of these Terms;
- fraud, abuse, or security risk;
- illegal or dangerous use;
- non-payment;
- telecommunications or provider restrictions;
- legal or regulatory requirements; or
- discontinuation of the service.
Where reasonably possible, we will provide notice and an opportunity to correct a problem before termination, unless immediate action is justified.
If LightState ends your paid subscription for our convenience and not because of your material breach, fraud, abuse, or unlawful conduct, we will provide an appropriate refund of unused prepaid service where required by law or consistent with our stated refund policy.
52. Disclaimer of Warranties
To the maximum extent permitted by applicable law, Kola is provided on an “as is” and “as available” basis. We do not make warranties that are not expressly stated in these Terms.
We do not warrant that Kola will be uninterrupted, error-free, perfectly accurate, suitable for every project, or capable of producing a particular result.
Some jurisdictions do not permit exclusion of certain warranties or statutory protections. Those mandatory protections are not excluded.
53. Limitation of Liability
Nothing in these Terms excludes or limits liability that applicable law does not permit us to exclude or limit, including liability that may arise from fraud, wilful misconduct, or other legally non-excludable conduct.
To the maximum extent permitted by applicable law, LightState will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of Kola, including lost profits, lost opportunities, or loss of data, where such exclusion is legally permitted.
To the maximum extent permitted by applicable law, LightState’s aggregate liability arising from the Kola service will not exceed the greater of:
- the amount you paid LightState for Kola during the 12 months immediately before the event giving rise to the claim; or
- CAD $100.
This limitation does not reduce any mandatory consumer remedy, statutory refund, privacy remedy, or other right that cannot legally be limited.
54. Third-Party Services
Kola depends on third-party services such as Stripe, Telnyx, mobile carriers, AWS, OpenAI, internet providers, and other infrastructure providers. Their services may be governed by their own terms and privacy practices.
LightState remains responsible for its own obligations to you but does not control every act or outage of independent third-party networks and services.
55. Electronic Communications
You agree that we may provide contracts, invoices, receipts, subscription confirmations, renewal notices, cancellation confirmations, refund confirmations, privacy notices, and other service communications electronically, including through email, the Kola website or account, and permitted SMS communications.
After you opt out of SMS, we may continue to send non-SMS communications that are reasonably necessary to administer your account, billing, legal notices, privacy requests, security, or customer support, subject to applicable law and your choices.
56. Governing Law and Consumer Rights
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, to the extent that this choice of law is legally permitted.
This choice of law does not deprive you of mandatory protections, remedies, forums, or rights provided by the consumer, privacy, subscription, telecommunications, or other laws that apply to you where those rights cannot legally be waived.
We do not require mandatory private arbitration under these Terms and these Terms do not prohibit you from participating in a class proceeding where applicable law gives you that right.
Before starting a formal dispute, you and LightState are encouraged, but not required where law gives you another right, to try to resolve the matter by contacting info@lightstateinc.com.
57. Changes to These Terms and Policies
We may update these Terms as Kola, our business, or applicable requirements change.
If a change is material, we will provide notice as required by applicable law. Changes to subscription price, renewal, cancellation, refunds, privacy practices, or other material terms will not be applied retroactively where doing so would be unlawful.
The effective date at the top identifies the version of this document. We may keep previous versions for compliance and recordkeeping purposes.
58. Severability
If a provision of these Terms is found unenforceable, it will be interpreted or limited to the minimum extent necessary to make it enforceable where legally permitted, and the remaining provisions will continue in effect.
59. No Waiver
If LightState does not immediately enforce a provision of these Terms, that does not waive the provision or our ability to enforce it later, subject to applicable law.
60. Entire Customer Agreement
These Terms, together with the checkout information, subscription selection, separate SMS consent, and any additional terms expressly presented for a particular feature or promotion, form the customer agreement concerning Kola.
If a specific checkout term conflicts with a general provision of these Terms regarding the purchased subscription, the specific checkout term controls for that purchase to the extent permitted by law.
